1. Agreement to Terms

Welcome to AdAnt. These Terms of Service ("Terms") constitute a legally binding agreement between you and AnyLoop Inc ("Company," "we," "us," or "our"), the operator of the AdAnt platform (the "Service") available at adant.ai.

By accessing or using AdAnt, you agree to be bound by these Terms and by our Privacy Policy and Cookie Policy, which are incorporated by reference. If you do not agree to these Terms, you may not access or use the Service.

Age Requirement: You must be at least 13 years old to use AdAnt. If you are between 13 and 18 years old, you represent that you have obtained parental or guardian consent to use the Service.

2. Description of Service

AdAnt is an AI-native platform for creating short-form videos with AI avatar characters. The Service provides:

• Generation of short-form videos from your prompts, scripts, and uploaded media
• AI generation of avatar characters and video scenes in a 9:16 vertical format
• A chat-driven editor for iterating on, reviewing, and exporting generated videos
• Web-based user interface and API access
• A character and asset library for reusing generated characters across projects
• Usage tracking and metrics for AI generation

3. Account Registration and Security

3.1 Account Creation

To use AdAnt, you must create an account by providing:

• A valid email address
• A secure password
• Accurate account information

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account, whether authorized or not
• Notifying us immediately of any unauthorized use
• Not sharing your account credentials with others

3.3 Account Information

You agree to provide accurate, current, and complete information and to keep your account information updated. We reserve the right to suspend or terminate accounts with inaccurate, fraudulent, or incomplete information.

4. Services Are Licensed, Not Sold

The Service, including all software, models, and AI generation capabilities, is licensed to you and not sold. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your business or personal purposes.

AdAnt offers both free and paid subscription tiers. Each account is unique to you and may not be transferred, except that business or enterprise accounts may be administered by authorized members of the subscribing organization. Any breach of these Terms terminates your license to use the Service.

5. Acceptable Use Policy

5.1 Permitted Uses

You may use AdAnt for lawful purposes, including:

• Creating short-form videos with AI avatar characters
• Generating and editing avatar characters and video scenes
• Reviewing, iterating on, and exporting generated videos
• Managing your projects and character library

5.2 Prohibited Activities

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Harass, abuse, threaten, or intimidate other users or our staff
• Upload or transmit viruses, malware, or malicious code
• Attempt to gain unauthorized access to any part of the Service
• Reverse engineer, decompile, or disassemble the Service
• Scrape, crawl, or use automated means to access the Service without permission
• Make excessive API requests that could harm Service performance
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Service or servers
• Sell, resell, or commercially exploit the Service without authorization
• Use the Service to store or transmit infringing, libelous, or otherwise unlawful content

5.3 Content and Moderation Policy

You may not use the Service to create, upload, or distribute content that:

• Infringes any intellectual property, privacy, or publicity right
• Depicts or facilitates the sexual exploitation or abuse of any person, especially minors
• Is hateful, harassing, defamatory, or promotes violence
• Impersonates a real person or organization, or generates a non-consensual likeness or "deepfake"
• Constitutes deceptive election-related, medical, or financial disinformation
• Promotes illegal activity, terrorism, or self-harm

We may review, moderate, refuse to generate, remove, or restrict content that violates this policy, and we may suspend or terminate accounts for violations. Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account.

6. User Content and Likeness

6.1 Your Content and Uploaded Media

You retain all ownership rights to the content you create and store in AdAnt, including media you upload, prompts, generated characters and videos, projects, and other data ("User Content").

You represent and warrant that you own or have obtained all rights, licenses, consents, and permissions necessary to upload your media and other inputs to AdAnt and to generate, edit, and use the resulting output. You are solely responsible for ensuring that your User Content and your use of the Service do not infringe the intellectual property rights of others or violate any contract or applicable law.

6.2 Likeness and Right of Publicity

If your User Content includes, depicts, or generates the face, voice, name, or other likeness of a real person, you represent and warrant that you have obtained that person's informed, written consent (or, for a minor, the consent of a parent or legal guardian) for such use. You may not use the Service to create a non-consensual likeness, impersonation, or "deepfake" of any individual. You are solely responsible for obtaining and retaining all releases, and for complying with all applicable right-of-publicity, defamation, and privacy laws.

6.3 AI-Generated Assets

To the extent permitted by applicable law and subject to these Terms, you own the output you generate using the Service ("Assets"). You acknowledge that AI-generated output may not be unique — other users may generate similar or identical results from similar inputs — and that we make no representation that any Asset is eligible for copyright or other protection, or that it is free of third-party rights. Your ownership of an Asset remains subject to the rights of the holders of any underlying source material, models, or trademarks.

6.4 License to Us

By using the Service, you grant us a limited, worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, and process your User Content solely to:

• Provide and operate the Service
• Improve and develop new features
• Ensure security and prevent abuse
• Comply with legal obligations

This license terminates when you delete your content or account, except for backup copies which may persist for up to 90 days.

6.5 Restrictions on Assets and the Service

You agree that you will not:

• Use Assets or the Service to train, fine-tune, or develop any competing AI model or service
• Resell or sublicense raw access to the Service's generation capabilities
• Remove or obscure any provenance, watermark, or attribution metadata we apply to Assets

We do not use your User Content to train our or any third party's foundation models. We may use aggregated and anonymized usage information to operate and improve the Service.

6.6 Our Intellectual Property

The Service, including its design, features, software, models, and all related intellectual property, is owned by AnyLoop Inc and protected by copyright, trademark, and other laws. "AdAnt" and related logos are trademarks of AnyLoop Inc.

These Terms do not grant you any right, title, or interest in the Service or our trademarks, except for the limited right to use the Service as described herein.

6.7 Feedback

If you provide us with suggestions, ideas, or other feedback about the Service, you grant us a perpetual, worldwide, non-exclusive, royalty-free, irrevocable, sublicensable license to use that feedback for any purpose without obligation or compensation to you. Feedback is not treated as your confidential information.

7. Third-Party Services

The Service relies on, links to, or interoperates with third-party services, including:

• Third-party platforms or sources from which you choose to upload media
• Third-party AI model and infrastructure providers used to generate text, images, video, and voice
• Payment processors and other service providers

Your use of any third-party service is governed by that party's own terms and policies. We do not control and are not responsible for the availability, content, or practices of third-party services, and your dealings with them are solely between you and the third party.

8. Payment Terms

8.1 Pricing

AdAnt offers both free and paid subscription plans. Current pricing is available at https://adant.ai/pricing.

8.2 Billing

Paid subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). You authorize us to charge your payment method on file.

8.3 Automatic Renewal

Subscriptions automatically renew unless you cancel before the renewal date. You can cancel anytime from your account settings.

8.4 Price Changes

We reserve the right to modify pricing with at least 30 days' notice. Continued use of the Service after price changes constitutes acceptance of the new pricing.

8.5 Taxes

All fees are exclusive of taxes, levies, or duties imposed by taxing authorities. You are responsible for paying all such taxes associated with your purchases, excluding taxes based on our net income.

8.6 Refunds

Refunds are handled on a case-by-case basis. Contact [email protected] for refund requests.

9. Copyright and DMCA Policy

We respect the intellectual property of others and expect our users to do the same. If you believe content on the Service infringes your copyright, you may send a notice to our designated copyright agent at [email protected] that includes:

• Identification of the copyrighted work and the allegedly infringing material, with enough detail for us to locate it
• Your contact information
• A statement that you have a good-faith belief the use is not authorized, and that the information in your notice is accurate
• Your physical or electronic signature

We may remove allegedly infringing content and, in appropriate circumstances, terminate the accounts of repeat infringers. The affected user may submit a counter-notice as permitted by applicable law.

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting us at [email protected]. Upon termination, your access to the Service will cease, and your data will be deleted in accordance with our Privacy Policy.

10.2 Termination by Us

We reserve the right to suspend or terminate your account at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of fees
• Any other reason at our sole discretion

10.3 Effect of Termination

Upon termination, you will lose access to your account and User Content. We recommend exporting your data before terminating your account. We are not liable for any loss of data upon termination.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Uninterrupted or error-free operation
• Accuracy, reliability, or completeness of content

AI-Generated Output. You acknowledge that the Service uses artificial intelligence and that AI-generated output may be inaccurate, may not reflect real people or events, and may resemble existing works. We do not warrant that any output is original, fit for any particular use, or free of third-party rights, and your use of the output is at your sole risk.

We do not warrant that the Service will meet your requirements or that defects will be corrected. Your use of the Service is at your sole risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANYLOOP INC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Business interruption
• Any damages arising from your use or inability to use the Service

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so these limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless AnyLoop Inc, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your User Content and any media you upload
• Any claim that your content infringes intellectual property, privacy, or publicity rights, including the likeness of any person
• Your violation of these Terms
• Your violation of any third-party rights

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

14.2 Jurisdiction

You agree to submit to the personal and exclusive jurisdiction of the courts located in Delaware for the resolution of any disputes.

14.3 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute within 60 days.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last Updated" date
• Sending an email notification (for material changes)

Your continued use of the Service after any changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and AnyLoop Inc regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

16.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

16.6 Export Control

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to U.S. government embargo or designated as a "terrorist-supporting" country.
